Terms of Use

1. Agreement and company

These Terms of Use ("Terms") are a binding agreement between you and RELOAD TECHNOLOGIES - FZCO, Dubai, United Arab Emirates ("Reload," "Spek," "we," or "us"). They govern your access to Spek's public websites (the "Website"), applications, app store optimization tools, and related services (together, the "Service").

By creating an account, clicking to accept, signing an order form, or accessing or using the Service, you accept these Terms. If you do not agree, do not use the Service. Our Privacy Policy, Cookie Policy, and any order form or other written agreement that applies to you are incorporated by reference.

If a signed order form or other agreement expressly conflicts with these Terms, that signed agreement controls only for the conflict. Mandatory rights that cannot lawfully be waived remain unaffected.

2. Eligibility and authority

You must be at least 18 years old and legally capable of entering a binding agreement. The Service is designed for professional and business use. If you use it for a company or other organization, you represent that you are authorized to bind that organization; in that case, "you" includes the organization.

You may use the Service only where doing so is lawful. You represent that neither you nor the organization you represent is prohibited from receiving the Service under applicable trade, export-control, or sanctions laws.

3. Accounts and workspaces

You must provide accurate, current information and keep it updated. You are responsible for safeguarding sign-in credentials, enabling available security controls appropriate to your risk, and all activity under your account except to the extent caused by our breach of these Terms. Tell us promptly at hello@spek.app if you suspect unauthorized access.

Workspace owners and administrators control membership, roles, connected developer accounts, apps, and settings. You are responsible for users you invite, permissions you grant, and instructions those users submit. You must remove access when it is no longer authorized. An account is personal to its named user and may not be shared.

4. Service license and scope

Subject to these Terms and payment of applicable fees, Spek grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the applicable term to access and use the Service for your internal business purposes. Your plan or order form may define permitted users, workspaces, features, credits, or other limits.

No ownership right is transferred to you. Rights not expressly granted are reserved by Spek and its licensors. You may not use documentation, interfaces, output, or access supplied for one workspace to provide a bureau, resale, time-sharing, or competing service to third parties unless we agree in writing.

5. Store connections and instructions

Spek connects to App Store Connect using a customer-provided API key. This connection uses the official token-authenticated API. Apple ID passwords, interactive console logins, browser sessions, and provider cookies remain with Apple.

You may connect only credentials, developer accounts, apps, and data that you are authorized to control. You instruct and authorize Spek to use the credentials you provide to retrieve store information and perform actions requested by authorized workspace users. You are responsible for choosing least-privilege permissions, monitoring access, rotating exposed keys, and revoking credentials when no longer needed.

A draft, analysis, or proposal does not itself publish a change. Publishing requires an affirmative action by an authorized user. Store actions can affect a live listing and may not be reversible by Spek; review the target app, territory, content, and permissions before approving publication.

6. AI-assisted features

The Service uses automated and AI-assisted systems for research, classification, translation, analysis, recommendations, drafts, and creative workflows. AI output is probabilistic and may be inaccurate, incomplete, outdated, duplicative, biased, or unsuitable for a particular app, market, language, or audience.

You must independently review and, where appropriate, test every output before relying on or publishing it. You remain responsible for final decisions, claims, keywords, metadata, translations, images, responses, submissions, and compliance with law and platform rules. Spek does not provide legal, financial, regulatory, or platform-policy advice and does not guarantee store approval, ranking, visibility, downloads, conversion, revenue, or any other result.

Subject to third-party rights and applicable law, you may use output generated for you as part of the Service. Output may not be unique, and another user may receive similar output. You must not present AI output as verified fact without appropriate review.

7. Customer content and data

You retain ownership of information, text, images, videos, app data, instructions, prompts, and other materials you submit or connect ("Customer Content"). You grant Spek and its service providers a worldwide, non-exclusive, limited right to host, copy, transmit, transform, display, and otherwise process Customer Content only as reasonably necessary to provide, secure, maintain, and support the Service, comply with law, and carry out your instructions. This license ends when the relevant content is deleted, subject to lawful retention and technically unavoidable residual copies.

You represent that you have all rights, notices, consents, and lawful bases needed for Customer Content and our processing of it under your instructions. Do not submit secrets or regulated, sensitive, or special-category personal data unless the Service expressly requests it and you are legally permitted to do so. Our handling of personal data is described in the Privacy Policy.

8. Acceptable use

You must not, and must not help anyone else to:

  • use the Service unlawfully or infringe intellectual property, privacy, publicity, confidentiality, consumer, or other rights;
  • submit deceptive content, impersonate another person or business, or manipulate reviews, ratings, rankings, attribution, or store systems;
  • access an account, app, workspace, system, or data without authorization, or bypass authentication, approvals, rate limits, usage controls, or security protections;
  • upload malware or harmful code, interfere with availability, probe or test security without our prior written permission, or make abusive or excessive automated requests;
  • scrape, harvest, index, bulk-export, or compile the Service or its data except through an interface and within limits we expressly provide;
  • copy, sell, rent, sublicense, frame, mirror, reverse engineer, decompile, disassemble, or derive source code or underlying models, except where applicable law expressly prohibits this restriction;
  • use the Service or its output to train, benchmark, or build a competing product or model without our prior written permission; or
  • conceal identity or origin, misstate authority, or evade a suspension or other enforcement action.

We may investigate suspected misuse and remove content or restrict access where reasonably necessary to protect the Service, users, providers, or third parties, or to comply with law.

9. Third-party services and data

The Service interoperates with third parties, including Apple for App Store operations, Google for authentication, public App Store data sources, data suppliers, cloud and authentication providers, AI model providers, and email providers. Their services, data, and decisions are governed by their own terms and privacy practices.

Spek does not control and is not responsible for a third party's availability, accuracy, policy, security, acts, or omissions. A provider may change or discontinue an API, limit data, revoke access, delay or reject a submission, suspend a developer account, or remove content. Third-party and public-store data may be delayed, incomplete, estimated, or subject to separate rights and usage restrictions.

10. Fees, taxes, and billing

If you purchase a paid plan, the price, currency, billing period, included features, usage limits, taxes, renewal terms, and payment method shown at checkout or in an order form apply to that purchase. Stripe hosts card entry and processes Spek's self-service Checkout, recurring charges, invoices, refunds, disputes, and billing portal. By continuing, you authorize Stripe to charge the payment method you select for the disclosed amount and renewals. Spek does not receive or store your full card number or CVC.

Owners and admins may purchase one-time credit packages at the amount shown in Checkout. A credit package does not start, renew, upgrade, or extend a subscription, and it does not by itself grant commercial access. Each purchased credit expires twelve months after the canonical paid invoice is confirmed. A refund or lost payment dispute may reverse unused credits proportionately; if reversed credits have already been used, the resulting credit debt may be withheld from later grants instead of making the displayed balance negative. Before another subscription or credit purchase, Spek displays how much of its first paid credit grant will offset that debt and how much will be usable immediately. You must confirm that disclosure before continuing to Stripe. When Stripe opens a formal payment dispute, Spek may apply that credit effect provisionally and pause new plan credits while the dispute is decided. A won dispute restores eligible value under its original expiry and repayment provenance; a lost dispute makes the reversal final. An open dispute alone does not end already-paid product access.

Self-service monthly and annual plans renew automatically as disclosed before purchase. Monthly plans are charged monthly. Annual plans are charged once per year while their included credits are added monthly after the relevant payment is confirmed. Each credit grant has its own expiry date. Unused credits are not cash, cannot be transferred between workspaces, and remain subject to the displayed expiry and plan terms.

Owners and admins may add or replace eligible payment methods through Stripe-hosted setup, view invoices in the billing portal, and cancel at the end of the current paid period. If you explicitly designate a card as an automatic backup, you authorize one backup attempt when a recurring renewal fails because its primary payment method must be replaced. Spek does not use the backup for initial activation, one-time credit purchases, or a payment that requires bank confirmation. A successful backup becomes the primary payment method; you may remove or replace a backup from Billing.

The in-product cancellation review shows the expected access end and credit effects before Stripe collects a cancellation reason. Cancellation is at period end and can be withdrawn before it takes effect. No cancellation discount is offered. A self-service plan change applies immediately and charges only the prorated difference for the remainder of the current billing period; the renewal date does not change. Immediate cancellation is not offered in this version. The sole recovery exception is a subscription whose entire paid entitlement has already been reversed by a full refund or lost dispute: an owner or admin may explicitly end that reversed subscription without another invoice or proration before choosing a replacement, so two subscriptions are never opened in parallel. Refunds are not automatic and are handled under the applicable purchase terms and mandatory law. Nothing here removes a refund or cancellation right that applicable law requires.

Automatic tax calculation is not enabled for self-service Checkout; the total Stripe shows is the amount Spek charges. Except for taxes on our net income, you remain responsible for any tax, duty, withholding, filing, or similar obligation that law places on you.

An overdue payment prevents new subscription credits from being issued until Stripe confirms payment. Existing unexpired credits are not removed solely because a payment becomes overdue, and paid workspace access remains available through the already-paid period. Access may end after that paid-through time if payment remains unresolved. We may suspend other paid features for overdue undisputed amounts after reasonable notice, except where immediate action is required to prevent fraud or misuse. We may change future prices or plans prospectively and will provide notice required by the applicable purchase terms or law before a change affects an active subscription.

11. Intellectual property and feedback

Spek and its licensors own the Service, including its software, interfaces, design, documentation, methods, databases, branding, and all related intellectual property. Customer Content remains yours, and third-party store data and materials remain subject to their respective owners' rights.

If you voluntarily provide feedback or suggestions, you grant Spek a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate them without restriction or compensation. This feedback license does not give Spek ownership of your Customer Content or permit us to identify you publicly without permission.

12. Confidentiality

Each party may receive non-public information that is identified as confidential or that a reasonable person would understand to be confidential. The receiving party will use it only to perform or exercise rights under the agreement, protect it with reasonable care, and disclose it only to personnel and service providers who need it for that purpose and are subject to appropriate confidentiality duties.

Confidential information excludes information lawfully known without restriction, independently developed, rightfully received from another source, or made public without breach. A party may disclose information where law requires after giving notice when legally permitted. Store credentials and non-public Customer Content are your confidential information; non-public Service technology and security information are ours.

13. Availability, changes, and beta features

We may maintain, improve, add, modify, or discontinue features. We will provide notice before materially reducing a paid Service where an order form or applicable law requires it. Features identified as preview, beta, or experimental may be incomplete, change without notice, contain errors, or be withdrawn at any time.

Interruptions may result from maintenance, provider outages, internet conditions, attacks, legal requirements, or events beyond our reasonable control. The Service is not guaranteed to operate without interruption or error, and no minimum uptime or permanent feature availability applies unless expressly stated in the applicable purchase terms.

14. Suspension and termination

You may stop using the Service at any time and may cancel a paid plan under its purchase terms. We may suspend or terminate access if you materially breach the agreement, fail to pay an undisputed amount, exceed agreed limits, create a security or legal risk, or threaten Spek, a provider, a user, or a third party. We may act immediately where reasonably necessary to prevent harm, fraud, unauthorized store action, or legal exposure; otherwise, where practicable, we will give notice and an opportunity to cure.

On termination, your license ends and you must stop using the Service. Make any copies you need before access ends, as the Service may not provide access to content after termination. We may delete or retain data as described in the Privacy Policy and applicable law. Accrued payment obligations and provisions concerning ownership, confidentiality, indemnity, disclaimers, liability, disputes, and any provisions intended by their nature to survive will continue.

15. Your indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless RELOAD TECHNOLOGIES - FZCO, its affiliates, and their directors, officers, personnel, and service providers from third-party claims, losses, liabilities, damages, judgments, fines, penalties, and reasonable legal costs arising from: Customer Content; your store credentials, permissions, submissions, or instructions; your breach of these Terms or applicable law; or your infringement or misuse of another person's rights or a third-party platform.

This obligation does not apply to the extent a claim results from Spek's breach, gross negligence, willful misconduct, or matter for which indemnity cannot lawfully be required. We will give prompt notice, allow you to control the defense with competent counsel, and provide reasonable cooperation at your expense. You may not settle a claim in a way that admits fault by or imposes an obligation on an indemnified party without its written consent.

16. Disclaimers

To the maximum extent permitted by law, the Website, Service, output, and third-party data are provided "as is" and "as available." Spek disclaims express, implied, statutory, and other warranties, including merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, completeness, security, and warranties arising from course of dealing or usage of trade.

You are responsible for evaluating whether the Service is suitable for your needs, maintaining your own source materials and records, reviewing output, and complying with store policies and law. No oral or written statement creates a warranty unless included in a signed agreement by an authorized representative of Spek.

17. Limitation of liability

To the maximum extent permitted by law, neither Spek nor its affiliates, licensors, or service providers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, goodwill, opportunity, anticipated savings, business interruption, or data, even if advised that such loss was possible.

To the maximum extent permitted by law, their total aggregate liability arising out of or relating to the Website, Service, or the agreement will not exceed the greater of: the fees you paid or were required to pay Spek for the Service during the 12 months immediately before the first event giving rise to the claim; and AED 500. Multiple claims do not increase this cap.

These exclusions and limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence, or any liability that applicable law does not permit to be excluded or limited. The allocation of risk in this section is reflected in the Service and its pricing and applies to the fullest lawful extent.

18. Governing law and disputes

These Terms and any non-contractual obligations arising from them are governed by the federal laws of the United Arab Emirates and, to the extent applicable, the laws of the Emirate of Dubai, without regard to conflict-of-laws rules. Subject to mandatory law, the courts of Dubai, United Arab Emirates have exclusive jurisdiction.

Before filing a claim, each party will give the other written notice describing the dispute and allow 30 days for good-faith resolution. This does not prevent either party from seeking urgent interim or injunctive relief, nor does it limit a mandatory consumer complaint or other remedy that cannot lawfully be restricted.

19. General terms

Neither party is liable for delay or failure caused by events beyond its reasonable control, except payment obligations. You may not assign the agreement without our written consent; we may assign it in connection with a merger, reorganization, financing, or sale of all or substantially all relevant assets, or to an affiliate, provided your mandatory rights are not reduced.

Notices may be delivered electronically to the email address linked to an account or published within the Service where legally permitted. The parties are independent contractors. No waiver is continuing, and a failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified only as much as needed and the remainder will continue. Headings are for convenience. These Terms and incorporated documents are the entire agreement about their subject matter and do not create third-party beneficiary rights.

We may update these Terms to reflect changes to the Service, law, security, or our business. We will post the revised version and give additional or advance notice where the change is material and law or an agreement requires it. Changes apply prospectively from their stated effective time. If affirmative consent is legally required, we will request it; otherwise, continued use after the revised Terms take effect constitutes acceptance.
